BUSINESS AND INDIVIDUAL RESELLERS POLICY
POLICY AND RESTRICTIONS:
The lipolife® Resellers Policy governs the internet, store and clinic-based resale of products from lipolife®, a nutritional supplement brand. For the sake of clarity this refers to all food supplements or related products purchased from lipolife®.
This policy is provided to all new and existing resellers as a privilege and benefit of being a valued customer of lipolife®.
lipolife® chooses to promote its supplements and provide special wholesale pricing that lipolife® deems sufficient to support a high level of service and to encourage commitment and investment in the brand.
lipolife® reserves the right to deny any application.
This policy is the unilateral will of lipolife® and this policy can be amended at any time. Such amendments will be communicated via mail and/or email to all involved parties.
Authorised Resellers:
Only authorised resellers and healthcare professionals are permitted to sell lipolife® branded products through their store, website or clinic. An acceptable HCP reseller is someone who maintains and has submitted a current medical licence, degree or certificate for lipolife® verification and approval. Such approved licensed HCP customers may resell HCP products through a website where he/she is accessible. An acceptable reseller will have been vetted by lipolife® to ensure the brand is reflected in a positive and progressive manner.
Copyright and Trademark:
The philosophy and integrity of the lipolife® brand and products it produces must be consistently protected at all times. Content displayed on the lipolife® website, in brochures, advertisements, product packaging, product information sheets and other marketing materials supplied by the manufacturers and originators of the products including those on their own websites are copyrighted and trademarked.
Brand Representation:
The unauthorised use of copyrights, trademarks, logos, manufacturing images, product images, copy or other lipolife® product information on the internet without expressed consent is prohibited. All photos, images and product and/or company description content pertaining to or describing lipolife® and the products it distributes must be current and obtained from lipolife® directly.
Information Disclosure:
All individuals or companies intending to resell lipolife® products through the internet agree to disclose all ownership or association of any kind with other affiliated websites of any type. Websites where lipolife® products are sold or advertised must provide access to the contact information of the business for compliance with the Consumer Rights Directive.
Wholesale Ordering
International Restrictions: Products are for distribution in the agreed territory only. Due to international supplement regulations and policies governing such products, and to protect the integrity and rights of our international distributors, products cannot be shipped internationally without prior approval from lipolife®
Compliance and Laws: The reseller is solely responsible to comply with all applicable laws and regulations where it advertises or sells lipolife® products. This includes but is not limited to the linking of health claims to lipolife® products.
Third Party Websites: The advertising, sale or distribution of products through third party retail websites or auction type, marketplace or classified ads type websites is strictly forbidden. If products appear on third party websites from untraceable sources, lipolife® reserves the right to challenge any reseller to ensure goods are sold in compliance with this policy. This prohibition includes but is not limited to, Amazon, eBay and similar outlets.
Payment and Returns: Payment should be made by card, PayPal or bank transfer prior to dispatch. Credit accounts are available on application. Failure to comply with the agreed terms of credit with lipolife® may result in the termination of your agreement and the pursuit of any owed funds via legal channels. Any shortfalls or damage in your delivery must be reported within 48 hours of delivery by email or phone. We do not offer sale or return; if a product is found to be defective*, a replacement will be provided. (*subject to batch analysis.) Any other replacements are solely at the discretion of the brand.
Pricing Provisions: Authorised sellers are strongly requested to abide by the Minimum Advertised Price (MAP) Policy, as outlined in the wholesale pricelist. Promotions will be agreed on a case by case basis.
SANCTIONS:
Absolute adherence to the terms and conditions outlined in this policy is required for active account status. If a customer fails to comply with the terms this policy, lipolife® shall notify them via phone, email or standard mail of the violation and immediately place the customers direct and distributor (if applicable) account on hold until the customer has come into compliance. Failure to comply with the MAP policy may result in temporary or permanent revocation of the customer’s wholesale purchasing privileges, suspension of the account or termination of the account.
lipolife® reserves the right to revoke the customer’s wholesale price purchasing privileges and/or terminate the account of any customer in violation of any of the terms or conditions outlined in this policy without prior notice. Violation of any such terms automatically forfeits the account holder’s ability to sell products in any capacity.
Policing and Sanctions
lipolife® regularly explores the internet to identify anyone reselling their supplements in defiance of the terms above. Once identified the reseller will have their account suspended until rectified or if in the case of refusal to adopt lipolife® resellers policy, their account will be closed.
